Annual Reports
The state Annual Report, plus amendments, conversions and dissolutions. What keeps your company alive.

What it is
Florida requires every company to file an Annual Report to stay active. It is not a financial statement: it confirms the company’s information is still correct. It has a deadline, and missing it is expensive.
The same filing covers a company’s changes over time: amendments when data changes, conversions when the legal form changes, and dissolutions when it is time to close properly.
You need it if
- You have an active Florida company
- You changed address, partners or trade name
- You want to convert to a different legal form
- You are closing the business and want it done right
What documents you need
- State document number for the company
- Current partner and officer information
- Current business address
- Partner agreement if dissolving
How long it takes
The Annual Report has a yearly deadline. Worth not cutting it close.

What if I do not file the Annual Report?
A late fee applies, and if you keep not filing, the state administratively dissolves the company.
Can a dissolved company be recovered?
Yes, through reinstatement, paying what is owed plus the penalty. The sooner, the simpler.
When do I need an amendment?
When something on the registration changes: name, address, partners, officers or company purpose.
Why dissolve formally instead of walking away?
Because an abandoned company keeps accruing obligations and penalties in your name. Dissolving properly closes that door.
