BOI Report
The beneficial ownership report to FinCEN. The rules have changed, and it is worth knowing if it applies to you.

What it is
The Beneficial Ownership Information Report is the filing with FinCEN, the Treasury’s financial crimes network, identifying the people who own or control a company.
It is among the filings that changed most since it was announced: who must file and by when has been revised more than once. So the first thing we do is verify whether your company has to file today, before filing anything.
You need it if
- You formed a company and do not know if it applies
- You received a notice about the BOI report
- Ownership or control of your company changed
- You want to confirm you are compliant
What documents you need
- Company formation documents
- Identification for each beneficial owner
- Residential addresses of the owners
- Ownership and control structure
How long it takes
We verify first whether it applies and by when, because the rule has changed.

Does my company have to file?
It depends on how it is formed and on current rules, which have changed several times. We verify before charging you for a filing you may not owe.
Who counts as a beneficial owner?
Anyone owning at least 25 percent of the company, or exercising substantial control over it even without appearing as an owner.
Is it filed every year?
It is not annual. You file once and update it when the reported information changes.
What if I should have filed and did not?
Civil and criminal penalties are on the books. Better to settle the question than assume it does not apply.
